ABOUT PRIVATE LIMITED COMPANY

Under Section 2(68) of the Companies Act, 2013, a private company is defined as a privately held business entity whose Articles of Association must specifically restrict the right to transfer its shares, limit its total membership to 200 (excluding current and former employees who hold shares), and strictly prohibit any invitation to the public to subscribe to its securities. Furthermore, the Companies (Amendment) Act, 2015 removed the prior requirement for a minimum paid-up share capital, and such companies must operate with at least two directors and two members (unless registered as a One Person Company) while using the suffix "Private Limited" in their registered name
